COOK PROPERTIES TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of websites, online services, portals, forms, communications, and other digital services operated by or on behalf of Highland Holdings LLC, doing business as Cook Properties (“Cook Properties,” “we,” “us,” or “our”).

These Terms apply to CookProperties.com, cookproperties.com, Cook.Properties, the Highland Holdings Tenant Portal, and other Cook Properties websites or online services that link to these Terms (collectively, the “Services”).

Please read these Terms carefully. By accessing or using the Services, you acknowledge and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you should not use the Services.

1. ABOUT COOK PROPERTIES

Cook Properties is a New York-based real estate company engaged in activities that may include the ownership, operation, management, leasing, sale, development, and marketing of manufactured housing communities, homes, commercial properties, self-storage facilities, and related real estate and property services.

Our properties and primary business operations are located within the State of New York.

Information available through the Services is intended primarily for individuals and businesses interested in Cook Properties’ properties or services.

2. USE OF OUR SERVICES

You may use our Services only for lawful purposes and in accordance with these Terms.

You agree not to:

• Use the Services in violation of any applicable federal, state, or local law;
• Attempt to gain unauthorized access to our websites, systems, accounts, networks, or information;
• Interfere with the security, availability, operation, or performance of the Services;
• Introduce viruses, malware, malicious code, or other harmful technology;

3. PROPERTY LISTINGS, PRICING, AND AVAILABILITY

Cook Properties may provide information through the Services concerning homes for sale or rent, manufactured home community sites, commercial properties, office space, self-storage units, vacant sites, or other real estate opportunities.

We make reasonable efforts to provide accurate and current information. However, property information is subject to change and may contain errors, omissions, or delays in updating.

Unless expressly stated otherwise in a binding written agreement:

• Listings are provided for informational and marketing purposes;
• Prices, rents, fees, incentives, promotions, specifications, features, and availability are subject to change;
• Properties, homes, units, spaces, or sites may become unavailable at any time;
• Photographs, floor plans, renderings, maps, dimensions, and other visual materials may be representative or approximate;
• Images may depict model homes, similar properties, optional features, furnishings, landscaping, or other items that are not included;
• Website information does not constitute a binding offer, lease, purchase agreement, financing agreement, or reservation; and
• Submission of an inquiry, application, or other online form does not guarantee availability, approval, pricing, financing, or acceptance.

You should verify material property information directly with an authorized Cook Properties representative before making a financial, housing, leasing, or purchasing decision.

If there is a conflict between information displayed on a website and the terms of a fully executed written agreement with Cook Properties, the executed written agreement will control.

4. APPLICATIONS AND ELIGIBILITY

The Services may allow users to submit applications or information concerning housing, rentals, home purchases, financing, commercial space, self-storage, employment, or other services.

Submitting an application does not guarantee approval.

Applications may be subject to applicable qualification criteria, verification requirements, availability, background or tenant screening, credit review, income verification, identification verification, fraud-prevention measures, or other lawful requirements.

Cook Properties may use authorized third-party service providers to process applications, verify information, conduct screenings, or provide related services.

Applicants are responsible for providing complete, accurate, and truthful information.

Additional disclosures, authorizations, agreements, or terms may apply to a particular application or transaction.

5. FAIR HOUSING AND EQUAL OPPORTUNITY

Cook Properties supports equal housing opportunity and complies with applicable federal, state, and local fair housing and anti-discrimination laws.

Housing-related decisions are made without unlawful discrimination on the basis of any characteristic protected by applicable law.

The Services may provide access to payment systems, resident portals, applicant portals, storage portals, or other transaction-processing services.

Certain payment and transaction services may be provided by third-party service providers and may be subject to additional terms, fees, policies, or privacy practices.

You are responsible for ensuring that payment information you provide is accurate and that you are authorized to use the applicable payment method.

A payment submitted online is not considered complete until it has been successfully processed and accepted by the applicable payment system.

Nothing in these Terms modifies the payment obligations contained in an applicable lease, rental agreement, purchase agreement, storage agreement, financing agreement, or other binding contract.

8. THIRD-PARTY SERVICES AND LINKS

Our Services may contain links to or integrations with third-party websites, applications, payment processors, resident portals, mapping services, social media platforms, financing providers, screening providers, or other external services.

Third-party services are operated independently from Cook Properties.

Cook Properties does not control and is not responsible for the availability, content, security, accuracy, privacy practices, or terms of independent third-party services.

Your use of a third-party service may be governed by that provider’s own terms and privacy policy.

The inclusion of a link or integration does not necessarily constitute an endorsement of the third party or its products or services.

9. SMS, TELEPHONE, AND ELECTRONIC COMMUNICATIONS

If you provide Cook Properties with a telephone number, mobile number, or email address, we may communicate with you regarding inquiries, applications, appointments, accounts, maintenance, residency, transactions, properties, services, or other matters relating to your relationship with Cook Properties.

Where required by law, marketing or promotional text messages will be sent only after appropriate consent has been obtained.

Message frequency may vary. Message and data rates may apply.

Consent to receive marketing text messages is not a condition of purchasing or renting a property, obtaining financing, renting a storage unit or commercial space, or purchasing other goods or services.

You may opt out of applicable text messages by replying STOP. You may request assistance by replying HELP or contacting Cook Properties.

Opting out of marketing communications does not necessarily prevent Cook Properties from sending communications that are permitted or required by law or reasonably necessary in connection with an existing account, application, transaction, tenancy, maintenance matter, emergency, or other ongoing business relationship.

Cook Properties does not sell mobile telephone numbers or SMS opt-in consent information to third parties for their independent marketing purposes.

10. USER-SUBMITTED INFORMATION

When you submit information, documents, photographs, messages, reviews, forms, or other content through our Services, you represent that:

• The information is accurate to the best of your knowledge;
• You are authorized to provide it;
• Providing the information does not violate applicable law or another person’s rights; and

Cook Properties does not rely solely on automated systems to make final housing, credit, employment, or other legally significant decisions where such use would be prohibited by applicable law.

12. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Services and their contents are owned by, licensed to, or used with permission by Cook Properties and are protected by applicable intellectual property laws.

This may include:

• Cook Properties names, logos, trademarks, and branding;
• Website designs and layouts;
• Text and written content;
• Photographs and graphics;
• Videos;
• Property descriptions;
• Marketing materials;
• Documents; and
• Other original content.

You may access and use website content for personal, non-commercial purposes related to evaluating or using Cook Properties’ services.

You may not reproduce, modify, distribute, sell, republish, publicly display, commercially exploit, or create derivative works from protected Cook Properties content without prior written permission, except as permitted by applicable law.

Nothing in these Terms grants ownership of Cook Properties intellectual property to users.

Nothing in this section excludes warranties or protections that cannot lawfully be excluded.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Cook Properties and its affiliates, officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from your use of or inability to use the Services.

Cook Properties is not responsible for losses caused by circumstances outside its reasonable control, including telecommunications failures, internet outages, third-party service interruptions, unauthorized third-party activity, or incompatible devices or software.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.

These limitations apply only to claims arising from the Services and do not alter rights or obligations contained in a separate lease, purchase agreement, financing agreement, storage agreement, commercial lease, or other binding agreement between you and Cook Properties.

18. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Cook Properties and its affiliates, officers, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful misuse of the Services, violation of these Terms, infringement of another person’s rights, or submission of fraudulent or unlawful information.

This provision does not require you to indemnify Cook Properties for conduct for which indemnification cannot lawfully be required.

19. TERMINATION OR RESTRICTION OF ACCESS

Cook Properties may suspend or restrict access to the Services if we reasonably believe:

• You have violated these Terms;
• Your activity presents a security risk;
• Your activity may violate applicable law;
• Your use interferes with the operation of the Services; or
• Restriction is reasonably necessary to protect Cook Properties, its customers, residents, employees, systems, or third parties.

Termination of website access does not eliminate obligations arising under a separate lease, purchase agreement, financing agreement, storage agreement, commercial lease, or other contract.

Cook Properties may update these Terms periodically to reflect changes in our Services, technology, business operations, legal requirements, or policies.

The updated Terms will be posted on our website with a revised Effective Date.

Where required by applicable law, we will provide additional notice regarding material changes.

Your continued use of the Services following the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

21. GOVERNING LAW

These Terms and your use of the Services are governed by the laws of the State of New York and applicable federal law, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Nothing in these Terms limits any rights or protections that cannot lawfully be waived under applicable federal, state, or local law.

22. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

23. NO WAIVER

Cook Properties’ failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

24. ENTIRE TERMS

These Terms govern use of the Services but do not replace or modify any separate written agreement between you and Cook Properties concerning a home, lease, tenancy, property purchase, financing arrangement, commercial property, self-storage unit, employment relationship, or other transaction.

If these Terms conflict with a fully executed written agreement governing a particular transaction or relationship, the applicable written agreement will control with respect to that transaction or relationship.
